1. Introduction

Welcome to CodeAlive ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our AI-powered workspaces and code analysis platform, including both our SaaS and self-hosted versions (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Definitions

  • "User" refers to anyone who accesses or uses the Service, including but not limited to technology professionals such as Software Engineers, QA Engineers, Engineering Managers, Directors, CTOs, Business Analysts, Product Managers, Project Managers, R&D staff, and other IT or business professionals working with software development.
  • "Personal Data" means any information that identifies or can identify an individual, including name, email, and GitHub/GitLab account details.
  • "Company Data" refers to repositories and associated metadata processed through the Service.
  • "Content" means any code, data, text, or other materials uploaded, analyzed, or generated through the Service.
  • "Cookies" are small data files stored on your device that help us improve your experience with the Service.

3. Eligibility

The Service is intended for users aged 16 and older (or the age of digital consent in your jurisdiction). By using the Service, you represent that you meet this requirement and comply with applicable laws, including the General Data Protection Regulation (GDPR) in the EU and the California Consumer Privacy Act (CCPA) where applicable.

4. Account Registration

Users may be required to create an account to access certain features. You agree to:

  • Provide accurate information.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of unauthorized access.
  • Ensure that your use complies with your organisation's policies if using the Service in a professional capacity.

5. Permitted Uses and Restrictions

Users agree not to:

  • Use the Service for illegal or unauthorized purposes.
  • Attempt to bypass security measures.
  • Reverse engineer, decompile, or modify any part of the Service.
  • Use the Service for activities that may harm or interfere with other users.
  • Upload content that violates intellectual property rights, contains malicious code, or violates privacy laws.

6. Third-Party Integrations

We use services from the following providers for our cloud version:

  • Google, OpenAI, Anthropic, OpenRouter, DeepInfra, and Versage for AI and embedding capabilities.
  • AWS (primarily EU regions), MongoDB Atlas, and Qdrant (all hosted in the EU) for cloud infrastructure.
  • Grafana Cloud (hosted in AWS EU North, Stockholm) for monitoring and metrics visualization.
  • Intercom for customer support chat (only for users who have granted consent).
  • Mailjet for sending emails and communications to users.
  • Sentry for error tracking and application performance monitoring.

Self-hosted versions may have different integration options which will be specified in separate documentation.

7. Data Collection and Processing

We collect and process:

  • User information (email, first name, last name, GitHub/GitLab accounts).
  • Company data (repositories) for the duration necessary to provide analysis.
  • Data for service improvement, security, and compliance purposes.

7.1 EU Users (GDPR Compliance)

For users in the European Economic Area, we process personal data in accordance with GDPR. You have rights to:

  • Access, correct, or delete your personal data
  • Object to or restrict processing
  • Data portability
  • Withdraw consent at any time

7.2 California Users (CCPA Compliance)

California residents have specific rights regarding personal information, including:

  • Knowledge of what personal information is collected
  • Deletion of personal information
  • Opt-out of the sale of personal information
  • Non-discrimination for exercising these rights

Our Service employs a cookie consent system that complies with GDPR and other applicable privacy regulations:

  • The Service remains accessible even if you decline all optional cookies, though some features (like customer support chat) may be limited

8. AI-Generated Content

The Service provides AI-generated responses based on user input. We disclaim liability for any inaccuracies or unintended results. Users retain responsibility for reviewing, validating, and implementing any AI-generated suggestions. We recommend applying professional judgment to all AI-generated content before implementation.

9. Intellectual Property

  • You retain all rights to your content uploaded to the Service.
  • We do not claim ownership of your code or repositories.
  • The Service and its original content, features, and functionality are owned by CodeAlive and are protected by international copyright, trademark, and other intellectual property laws.

10. Payment and Billing

  • Free and premium plans are available with features as described on our pricing page.
  • Self-hosted versions are only available on paid plans.
  • Enterprise customization options may be available by contacting our sales team.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kazakhstan, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce. The seat of arbitration shall be Kazakhstan. Both parties agree to attempt to resolve any disputes through good-faith negotiation before proceeding to arbitration.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Service.

12. Limitation of Liability

To the maximum extent permitted by law, we disclaim liability for damages arising from:

  • Service interruptions.
  • AI-generated inaccuracies.
  • Unauthorized access to user data.
  • Loss or corruption of data.

Our total liability for any claims arising from these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

13. Future Services and Features

The Service may evolve to include new features, tools, and integrations. Any significant new functionalities will be subject to these Terms unless specifically stated otherwise. We may provide preview or beta features which may be subject to additional terms.

14. Changes to Terms

We reserve the right to update these Terms. Users will be notified of significant changes at least 30 days before they take effect, except for legal or regulatory requirements necessitating immediate changes.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.
